1. DEFINITIONS AND SCOPE
1.1. The Company: Azimuth Asia Pacific Ltd., including its directors, employees, and authorized subcontractors.
1.2. The Customer: Any professional entity or individual acting for professional purposes (B2B) who uses the Platform or places an Order.
1.3. The Platform: The website and online 3D configurator used to generate automated quotes.
1.4. B2B Exclusive: These Terms & Conditions apply exclusively to business customers. The Customer waives any “Consumer Protection” rights (such as cooling-off periods) as all Goods are custom-manufactured to specific technical requirements.
2. THE DIGITAL QUOTING PROCESS
2.1. Automated Analysis: The price generated by the Platform is based on a geometric analysis of the uploaded CAD file.
2.2. Algorithmic Errors: The Company reserves the right to cancel or modify an Order within 48 hours of placement if a technical error in the software resulted in an incorrect price (e.g., failed volume calculation or “non-manifold” geometry errors).
2.3. Technical Feasibility: A quote does not constitute a guarantee of printability. If the Company’s engineers determine a
part is likely to fail during production, the Company will contact the Customer to suggest modifications or cancel the Order with a full refund.
3. INTELLECTUAL PROPERTY AND DATA SECURITY
3.1. Ownership: The Customer retains full ownership of all uploaded designs.
3.2. Manufacturing License: The Customer grants the Company a non-exclusive, royalty-free license to use, reproduce, and modify the CAD file solely for the purpose of fulfilling the Order.
3.3. IP Warranty: The Customer warrants that they hold the necessary rights to the design and that the Goods do not infringe on any third-party patents or copyrights. The Customer shall indemnify the Company against all legal costs related to IP infringement.
3.4. Data Retention: The Company shall store CAD files for a period of 12 months for re-ordering purposes, after which they may be deleted.
4. MANUFACTURING STANDARDS & TECHNICAL LIMITATIONS
4.1. Fused Deposition Modeling Technology: The Customer acknowledges that Fused Deposition Modeling is an additive process. Minor surface artifacts, visible layer lines, and “stair-stepping” on curved surfaces are standard characteristics and not grounds for rejection.
4.2. Anisotropy: Mechanical strength is not uniform. Parts are generally weaker in the Z-axis (vertical). The Customer is
responsible for specifying critical load paths; otherwise, the Company will use the most efficient print orientation.
4.3. Tolerances: Standard industrial tolerances are +/- 0.2mm. High-performance materials (PPS-CF, PPA-CF) may experience different shrinkage rates.
4.4. Material Data: Technical Data Sheets (TDS) provide “typical values” for raw materials. Actual part performance may vary based on geometry and environmental conditions.
5. EXPORT CONTROL AND GLOBAL TRADE
5.1. Incoterms 2020: All international shipments are sold ExWorks as specified at checkout.
5.2. Import Obligations: The Customer is the “Importer of Record.” All local taxes, VAT, customs duties, and
brokerage fees in the destination country are the sole responsibility of the Customer. These charges are the recipient’s responsibility and may be requested by DHL upon delivery.
5.3. Strategic Trade Controls: The Customer warrants that the Goods will not be used for military applications, weapons of mass destruction, or re-exported to countries under international embargo (complying with Thai TCWMD regulations).
6. LIMITATION OF LIABILITY (CRITICAL)
6.1. Design Liability: The Company is a manufacturer, not an engineering firm. The Customer is solely responsible for the functional testing and certification of the parts for their specific application (Aerospace, Automotive, etc.).
6.2. Liability Cap: To the maximum extent permitted by Thai law, the Company’s liability is strictly limited to the replacement of the Goods or a refund of the price paid.
6.3. Consequential Loss: The Company shall not be liable for any indirect damages, including but not limited to loss of profit,
loss of data, machine downtime, or personal injury resulting from the use of the Goods.
7. DELIVERY AND TRANSFER OF RISK
7.1. Delivery Times: Lead times are estimates, not guarantees. The Company is not liable for delays caused by customs clearance or third-party logistics.
7.2. Risk Transfer: Risk of loss or damage passes to the Customer as soon as the Goods leave the Company’s facility in Thailand.
7.3. Transit Damage: Claims for damage during transport must be filed with the carrier within 24 hours of receipt.
8. QUALITY CLAIMS AND COMPLAINTS
8.1. Reporting: Claims for dimensional non-conformity must be made within seven (7) days of receipt, accompanied by a measurement report and photos.
8.2. Resolution: If a part is non-compliant with the CAD file, the Company will re-print at its own cost. No refunds are issued for design errors originating from the Customer’s file.
9. PAYMENT AND CANCELLATION
9.1. Prepayment: Due to the custom nature of the Goods, production begins only after 100% payment is confirmed.
9.2. Custom Goods: Because Goods are manufactured to the Customer’s unique specifications, Orders cannot be cancelled once the status changes to “In Production.”
10. PRIVACY AND COMPLIANCE
10.1. PDPA: The Company processes all personal data in accordance with the Thai Personal Data Protection Act (PDPA).
10.2. Confidentiality: All designs and technical communications are treated as strictly confidential and will not be disclosed to third parties except for authorized subcontractors.
11. GOVERNING LAW AND JURISDICTION
11.1. These T&C are governed by the laws of the Kingdom of Thailand.
11.2. Any dispute shall be settled by the Chon Buri Provincial Court, conducted in the Thai language.
